ELIVATED SERVICES AGREEMENT — GENERAL TERMS
Version 3 (October 2026)
These General Terms are part of the Elivated Services Agreement (the “Agreement”) between Elivated, Inc., a Maryland corporation (“Elivated”), and the client named in the Order (“Client”).
Important — please read. Disputes, even about earlier work, go to binding individual arbitration, both parties waive jury trials and class actions, and claims must be brought within 1 year (Sections 1.2, 10.4, and 11). Elivated’s liability is limited (Section 10). The 50% Deposit is non-refundable except as Section 6.4 provides (Section 5.1). Recurring Services run month to month until either party gives 30 days’ notice (Section 6.1). Hiring Elivated’s staff triggers a placement fee (Section 11.1).
1. HOW THIS AGREEMENT WORKS
1.1 Agreement Documents. The Agreement is each Order, the Service-Specific Terms for its Services (which are posted at elivated.com/agreement and apply even if not attached), these General Terms, and any addendum signed or included in an Order. If they conflict, an addendum controls on terms the law requires, then an Order or addendum term that names the section it overrides, then the Service-Specific Terms, then these General Terms, then the rest of the Order. No other document increases Elivated’s liability unless Elivated’s president signs it. Service-Specific Terms apply to the work actually done, whatever the Order calls it.
1.2 Acceptance. Client accepts an Order and this Agreement by signing the Order, paying under it, or telling Elivated to begin work, and confirms it could review them first, including the Service-Specific Terms. This Agreement governs Services performed from then on; earlier terms govern earlier work, except that Sections 10.4 and 11.2 to 11.4 govern Disputes about it, with 10.4’s year starting no earlier than acceptance.
1.3 Definitions. An “Order” is a PandaDoc document, proposal, quote, or similar document listing services (“Services”) and fees (“Fees”) that Client accepts. “Project Services” are one-time Services, such as builds; “Recurring Services” are billed periodically, such as ads, SEO, social media, and hosting. “Deliverables” are the work product an Order requires, in the final form Client approves. “Client Materials” are the content, trademarks, data, claims, testimonials, and instructions Client provides. “Elivated Materials” are Elivated’s templates, code, workflows, prompts, tools, and know-how. “Third-Party Platforms” are others’ services, such as Google, Meta, hosts, registrars, and AI providers, and “Third-Party Costs” are what others charge, including ad spend and usage fees. “Personnel” are Elivated’s employees and contractors. “Including” means including without limitation. “Business Days” are weekdays other than U.S. federal holidays and Jewish holidays on which Elivated is closed.
2. SERVICES
2.1 Scope and Change Orders. Only what the Order describes is included. Anything else, such as extra pages, features, revisions, new concepts, or rush work, is “Additional Work,” billed at the Order’s hourly rate (Elivated’s standard rate if none) or a quoted price. Client is bound when it approves a quote or a change to scope, timeline, or Fees (a “Change Order”), or tells Elivated to proceed with work Elivated has identified as Additional Work.
2.2 Revisions and Timelines. Unless the Order says otherwise, each Deliverable includes 2 rounds of revisions. Dissatisfaction with style, voice, or taste, including that work reads as AI-generated, is a revision request, not a defect. Timelines are good-faith estimates, not guarantees.
2.3 Personnel and Tools. Elivated chooses and may change its Personnel and tools, including artificial intelligence tools (“AI Tools”).
2.4 Non-Exclusivity. Elivated may serve Client’s competitors, including in the same markets and keywords.
2.5 Business Hours. Elivated’s business hours are 9:00 a.m. to 3:00 p.m. Eastern Time on Business Days. After-hours and emergency support are not included unless ordered.
2.6 Who Can Bind Elivated. Only Elivated’s president can grant a refund, credit, or discount, guarantee a result or date (only in an Order), agree to free work, or change this Agreement. Free help is an as-is Service that Elivated may stop at any time.
2.7 Call Recordings. Elivated may record, transcribe, and AI-summarize calls after notice in the invitation or at the start, unless an attendee objects. Client consents to this and will obtain its attendees’ consent.
3. CLIENT RESPONSIBILITIES
3.1 Cooperation and Pauses. Client will promptly provide the materials, decisions, approvals, and access Elivated requests, and deadlines extend for any Client delay. If Client does not respond or deliver requested items for 14 days after at least 5 contact attempts, Elivated may pause the affected Services by written notice. During a pause, Recurring Service Fees continue, Elivated may invoice work done, and resuming costs the reactivation fee in the Order, or $500 if none is stated, for the work of restarting (the “Reactivation Fee”). If a Project Service stays paused for 60 days, Elivated may close it by written notice, and Client pays for work done as under Section 6.2.
3.2 Client Materials and Claims. Client licenses Elivated to use its Client Materials for the Services and as Section 7.3 allows. Client warrants that it has every right and consent needed for them, including releases from identifiable people, a parent’s written consent for minors, and any HIPAA or state-law authorization to feature patients, and that they break no law. Client alone is responsible for the accuracy and legality of its claims, testimonials, reviews, and other content, whoever wrote it.
3.3 Approval. Client must review every Deliverable before approving or using it. Approval may be written or verbal. Elivated may confirm an approval or instruction by message; the confirmation controls unless Client objects within 2 Business Days. A Deliverable is approved when Client approves or uses it, or 5 Business Days after delivery unless Client rejects it in writing with specific reasons. After approval, Client is responsible for it, and changes are Additional Work.
3.4 Legal Compliance. Client alone is responsible for complying with the laws, professional rules, and platform policies that apply to its business, marketing, sites, apps, and data. Elivated may, without liability, decline any request, or remove or disable any content or technology, that it believes in good faith is unlawful or against platform rules.
4. THIRD-PARTY PLATFORMS AND COSTS
4.1 Third-Party Platforms. Elivated is not responsible, and Fees are not reduced, for Third-Party Platforms’ outages, errors, policy or algorithm changes, ad rejections, or account restrictions, suspensions, or closures.
4.2 Accounts and Domains. Accounts, pages, and domains should be in Client’s name, with Client as administrator and Elivated as a user. Elivated will never withhold a domain containing Client’s name or trademark as leverage; on written request it will make reasonable efforts to provide the transfer code, asking only repayment of registration fees it paid.
4.3 Third-Party Costs. Unless the Order includes them, Client pays all Third-Party Costs and repays any that Elivated pays when invoiced. Elivated is not responsible for charges in Client’s accounts, except that if it ignores a written budget, it is liable for the usage-based costs above that budget, subject to Section 10.3.
4.4 Third-Party Materials. Stock media, fonts, themes, and plugins remain under their owners’ licenses, and licenses from Elivated’s accounts may end when the Services end. If material Elivated supplies is claimed to infringe, Client’s sole remedy is its replacement or removal, at Elivated’s choice.
5. FEES AND PAYMENT
5.1 Project Services. Unless the Order says otherwise, 50% of a Project Service’s Fees is due before work begins (the “Deposit”), and the balance is due before launch or delivery of final files, or 15 days after Elivated says the work is ready if Client delays launch. The Deposit is earned when paid, for reserving capacity and onboarding, and is non-refundable except under Section 6.4. Elivated may hold launch and final files until Client pays in full, except as Section 4.2 provides.
5.2 Recurring Services. Recurring Services are billed monthly in advance and are owed whether or not Client uses them. Unused hours and allotments do not roll over.
5.3 Invoices and Taxes. Invoices are due on receipt, without setoff, and bind Client unless disputed in writing within 10 days of their date. Fees exclude sales and similar taxes, which Client pays. Elivated charges no late fees.
5.4 Non-Payment. If any amount is 10 or more days past due, Elivated may, after notice, suspend the Services until Client pays it and any Reactivation Fee, and withhold Deliverables until Client pays it. Client will reimburse Elivated’s reasonable collection costs, including attorneys’ fees.
5.5 Price Changes. Elivated may change Recurring Service Fees on 30 days’ email notice. Client may instead end the Service, without further notice, before the change takes effect. A Recurring Service discount given outside an Order lasts one month unless stated otherwise.
5.6 Payment Authorization. Client authorizes Elivated to charge any card or bank account Client keeps on file with Elivated’s payment processor for each invoice when due, until 2 Business Days after Client revokes this in writing.
6. TERM AND TERMINATION
6.1 Recurring Services. Recurring Services continue month to month, after any minimum term in the Order, until either party ends them on 30 days’ written notice. Fees for the notice period and any remaining minimum term remain payable.
6.2 Cancelling Project Services. Client may cancel a Project Service by written notice and then pays for the work done (at least the Deposit) and any non-cancellable Third-Party Costs. Elivated values work done under this Agreement in good faith by milestone, percentage complete, or hours.
6.3 Termination by Elivated. Elivated may end any Order on 30 days’ written notice.
6.4 Termination for Breach. Either party may end an Order if the other materially breaches it and does not cure within 10 days after written notice (5 days for non-payment). If Client ends an Order for Elivated’s breach, or Elivated ends one under Section 6.3 other than for Client’s breach, Elivated refunds prepaid Fees for work not yet performed, which is Client’s sole remedy for the termination. If Elivated ends an Order for Client’s breach, all amounts owed and Fees for work done become due at once.
6.5 Suspension. Elivated may suspend all or part of the Services to address a security threat or in response to a legal demand or takedown notice. Fees continue during a suspension Client causes.
6.6 Offboarding. If Client has paid all amounts due and asks within 30 days after an Order ends, Elivated will deliver the paid-for Deliverables and give Client access to Client-owned accounts Elivated controls. After an Order ends, Elivated may remove its access, Client must remove any Elivated access that remains and change any passwords Elivated used, and, except under Section 8, Elivated has no duty to maintain, back up, secure, or support anything related to the Order. Elivated may delete Client data 90 days later.
7. INTELLECTUAL PROPERTY
7.1 Deliverables. Once Client pays in full for a Deliverable, Elivated assigns Client its rights in it. Until then, any right Client has to use it ends if any amount owed remains unpaid 10 days after notice. Elivated keeps all rights in Elivated Materials and, unless the Order says otherwise, in drafts, unused concepts, and working and source files, which it need not deliver. Working and source files the Order lists are Deliverables. Client may use Elivated Materials built into a paid-for Deliverable as part of it.
7.2 AI-Generated Material. Material generated by AI Tools may not be protectable by copyright.
7.3 Portfolio and Credit Link. Unless Client opts out in writing, Elivated may show Client’s name, logo, and non-confidential work in its portfolio and marketing. Unless the Order says otherwise, Elivated may place a small credit link in the footer of sites it builds.
8. CONFIDENTIALITY AND DATA
8.1 Confidentiality. Each party will use the other’s information that is marked or reasonably understood as confidential (“Confidential Information”) only for this Agreement and protect it with reasonable care until 3 years after this Agreement ends. This excludes information that is public, already known, or independently developed, and does not prevent a disclosure that the law or legal process requires.
8.2 Client Data. For personal data Elivated processes for Client, Client is the controller and Elivated the processor. Client decides what its sites, forms, chats, and campaigns collect and is responsible for all notices and consents, including for cookies, pixels, session recording, call tracking and recording, and other tracking, whoever installs them.
8.3 Safeguards and Location. Elivated will use reasonable safeguards. Personnel and providers, including AI providers, may process Client data anywhere, including the Philippines and India. Except for its gross negligence or willful misconduct, Elivated is not liable for hacks, malware, or unauthorized access to, or disclosure of, Client’s sites, apps, accounts, or data, including through credentials shared by message or email. If Elivated confirms a breach of Client’s personal data in its control, it will notify Client promptly.
8.4 Messages Sent for Client. When Elivated sends emails, texts, or calls for Client, Client is the sender and is responsible for consent, opt-outs, and compliance with CAN-SPAM, the TCPA, and similar laws.
8.5 Health Information. Client will not give Elivated, or have it collect or access, protected health information (“PHI”) unless Elivated’s Business Associate Addendum (“BAA”) applies, or card data outside a PCI-compliant processor. Elivated may delete any received in breach of this Section. Client will tell Elivated before Elivated builds any form or tool that collects health information, and Client decides what those tools collect, where submissions go, and what tracking runs on those pages. Calling a Service “HIPAA compliant” or similar is not a warranty of legal compliance; Elivated’s only duty is to set up the features listed in the Order.
8.6 Processor Terms. To the extent required by a state privacy law, Elivated processes Client’s personal data only on Client’s instructions, including this Agreement; binds its Personnel and subcontractors in writing to confidentiality and these duties; when the Services end, deletes or returns the data as Client directs, unless the law requires keeping it; and, at Client’s cost where lawful, meets that law’s other processor requirements.
9. WARRANTIES AND DISCLAIMERS
9.1 Service Warranty. Elivated warrants that it will perform the Services in a professional and workmanlike manner. Client must report a breach, including missed work, in writing within 30 days after the work was delivered or due. Client’s sole remedy is re-performance or, at Elivated’s choice, a refund of the Fees for the nonconforming part.
9.2 No Guaranteed Results. ELIVATED DOES NOT GUARANTEE ANY RESULT, INCLUDING RANKINGS, TRAFFIC, LEADS, SALES, RETURN ON AD SPEND, APP STORE APPROVAL, UPTIME, OR THE ACCURACY OF REPORTS OR AI OUTPUT. Projections, estimates, and case studies are illustrations, not promises.
9.3 Disclaimer. EXCEPT AS STATED IN SECTION 9.1, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS,” AND ELIVATED DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND COMPLIANCE WITH ANY LAW OR ACCESSIBILITY STANDARD.
9.4 No Professional Advice. Elivated is not a law firm or healthcare provider, and nothing in the Services, including compliance recommendations, templates, and consent tools, is legal or professional advice.
10. INDEMNITY AND LIMITATION OF LIABILITY
10.1 Client Indemnity. Client will defend (with counsel Elivated approves), indemnify, and hold harmless Elivated and its owners, officers, Personnel, and agents (the “Elivated Parties”) against all third-party claims (including investigations and claims by regulators and Third-Party Platforms) and resulting losses, fines, and reasonable attorneys’ fees, arising out of: (a) Client Materials and content made at Client’s direction; (b) Client’s business and claims; (c) any Deliverable after Client approves or uses it, except to the extent caused by Elivated’s unauthorized change to it; (d) Client’s instructions; (e) Client’s breach of this Agreement or the law; and (f) Client’s data practices, including consent, tracking, and messaging claims. This Section applies even if the claim alleges, or it is found, that an Elivated Party was negligent (including through its own sole, joint, or concurrent ordinary negligence) or is strictly liable, but not to the extent a claim is finally found to result from an Elivated Party’s gross negligence or willful misconduct.
10.2 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY NOR ANY ELIVATED PARTY IS LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, LEADS, OR DATA, OR WASTED ADVERTISING SPEND (EXCEPT UNDER SECTION 4.3), UNDER ANY THEORY, INCLUDING NEGLIGENCE. This Section does not limit Client’s duty to pay amounts owed, its obligations under Section 10.1, or its liability for breaching Sections 7, 8, or 11.1, or for causing a restriction, suspension, or closure of Elivated’s own platform accounts. Nothing in this Agreement limits liability that the law does not allow to be limited.
10.3 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ELIVATED PARTIES’ TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THIS AGREEMENT OR THE SERVICES WILL NOT EXCEED: (a) FOR A RECURRING SERVICE, THE FEES PAID OR PAYABLE FOR IT FOR THE 3 MONTHS BEFORE THE CLAIM AROSE; (b) FOR A PROJECT SERVICE, THE FEES PAID OR PAYABLE FOR THAT PROJECT; AND (c) FOR ANY OTHER CLAIM, THE FEES PAID OR PAYABLE UNDER ALL ORDERS FOR THOSE 3 MONTHS. HOSTING, SUPPORT, OR WARRANTY WORK INCLUDED IN A PROJECT SERVICE’S PRICE IS PART OF THAT PROJECT SERVICE. IF A CLAIM FITS MORE THAN ONE CATEGORY, ONLY THE HIGHEST LIMIT APPLIES. FEES DO NOT INCLUDE THIRD-PARTY COSTS OR TAXES. Sections 10.2 and 10.3 reflect the Fees and apply independently, even if a limited remedy fails or is unenforceable.
10.4 Time Limit for Claims. Except for claims to collect amounts owed and indemnity claims, any claim relating to this Agreement must be brought within 1 year after the claiming party knew or should have known of it, or it is barred.
10.5 No Personal Claims. Client may bring claims only against Elivated, Inc., not its owners or staff personally.
11. NON-SOLICITATION AND DISPUTES
11.1 Non-Solicitation. During this Agreement and for 12 months after, Client will not, directly or through others, hire or engage anyone who is, or in the prior 12 months was, Elivated Personnel and who worked on Client’s Services, without Elivated’s written consent. If Client does, it will pay a placement fee of the greater of 50% of that person’s annual pay or $5,000, which the parties agree is a reasonable estimate of Elivated’s hard-to-measure damages and not a penalty.
11.2 Arbitration. Any dispute relating to this Agreement, the Services, or the parties’ relationship (a “Dispute”), including claims against any Elivated Party, will be resolved by binding arbitration before one arbitrator administered by the American Arbitration Association under its Commercial Arbitration Rules, in Baltimore, Maryland. The Federal Arbitration Act governs this Section. Either party may still bring a small claims action, sue to collect amounts owed, or seek a court injunction to protect its intellectual property, Confidential Information, or rights under Section 11.1. Doing so does not waive arbitration of any other Dispute, and a court decides whether an action fits these exceptions.
11.3 Class Action and Jury Waiver. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL AND TO BRING OR TAKE PART IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING RELATING TO THIS AGREEMENT OR THE SERVICES.
11.4 Governing Law. Maryland law governs this Agreement and all Disputes. Any permitted court action will be brought in Baltimore City or Baltimore County, Maryland, and each party consents to jurisdiction there.
12. GENERAL
12.1 Independent Contractors. The parties are independent contractors.
12.2 Notices. Legal notices must be emailed to eli@elivated.com (or another address Elivated gives in writing) for Elivated and to Client’s signer or primary contact. A clear cancellation of a Recurring Service posted in the shared messaging group by Client’s signer or primary contact also counts as notice under Section 6.1. Both take effect when sent.
12.3 Electronic Signatures. Electronic signatures and records are valid. An approval or Change Order sent by email, message (including WhatsApp), or project tool counts as a signed writing.
12.4 Force Majeure. Neither party is liable for delays (other than in payment) caused by events beyond its reasonable control, such as natural disasters, cyberattacks, and power or internet failures.
12.5 Assignment. Client may not assign this Agreement without Elivated’s written consent. Elivated may assign it to an affiliate or a successor to its business.
12.6 Entire Agreement. This Agreement is the parties’ entire agreement on its subject, except as stated in Section 1.2. Client has not relied on any statement or promise not in this Agreement. Client’s purchase orders and vendor terms, and Elivated’s website terms of use, do not apply, even if referenced.
12.7 Severability and Waiver. If any provision is unenforceable, it will be enforced to the extent allowed, and the rest stays in effect. Failing to enforce a provision is not a waiver.
12.8 Third-Party Rights. Only the parties and the Elivated Parties have rights under this Agreement.
12.9 Survival. Sections 1, 2.6, 3.2, 3.4, and 4 to 12, and other terms that by their nature are ongoing, survive the end of any Order or this Agreement.
12.10 Updates. Elivated may update the General Terms or Service-Specific Terms on 30 days’ notice, for later Services and events only. Client may instead end the affected Recurring Services, without further notice, before the update takes effect.
WEBSITE BUILD TERMS
Service code WB · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Website Build Terms apply to website builds in an Order.
WB 1. SCOPE
WB 1.1 Scope. Elivated designs, builds, and launches the website in the Order (the “Site”). Unless the Order says otherwise, this includes the Order’s pages, responsive for desktop and mobile; Client-provided content, placed as provided; standard contact or lead forms; basic on-page SEO setup; and Elivated’s standard consent tool, but not copywriting, photography, logo design, custom features, content migration, email hosting, or accessibility compliance, which no widget provides. Client approves the Site’s privacy policy and notices. Elivated enters individual blog posts, products, or lessons only as the Order states.
WB 1.2 Browsers, Devices, and Speed. The Site is built for the current versions of Chrome, Safari, Firefox, and Edge, and of iOS and Android, when development starts. Unless the Order lists them, other browsers and later releases are not supported, and the Site will not look identical on every screen. Elivated does not guarantee page speed or performance scores (General Terms Section 9.2).
WB 1.3 Forms and Integrations. At launch, Client will confirm that test entries reach the destinations it chose, and afterward Client monitors submissions. Elivated is not liable for lost, delayed, or misrouted form submissions. Repairing a form or integration broken by a change to a Third-Party Platform or plugin, or by Client or its other vendors, is Additional Work unless the Order includes it.
WB 1.4 Stores and Course Sites. For an online store, Client holds the store-platform, payment-gateway, and merchant accounts and places test orders before launch. Checkout uses the payment processor to collect card data, and Client is responsible for its own PCI DSS (card-security) compliance. Elivated sets tax and shipping options as Client instructs and does not decide which taxes apply. For a course site, learners’ data is Client’s responsibility, and so is any claim that a course earns certification or continuing-education credit. Content-protection tools cannot stop all copying or sharing of course materials.
WB 1.5 Hosting and Licenses. Unless the Order says otherwise or Client hosts the Site itself, the Fees include Included Hosting under the Website Hosting Terms. If Client hosts the Site itself, the host must meet Elivated’s technical requirements, and support for that host is Additional Work unless the Order includes it. Elivated’s theme and plugin licenses cover the Site only while Elivated hosts or maintains it; afterward, Elivated may remove them, and the Site may lose updates or features unless Client buys its own licenses.
WB 2. HOW THE BUILD RUNS
WB 2.1 Onboarding. A build runs through onboarding, a home-page design, development, Client review, and launch. To start, Client names one contact for feedback and approvals and gives Elivated its logo, brand assets, and the access Elivated requests, such as to its domain registrar and DNS and, for a redesign, its current website. Any timeline in the Order is an estimate that runs from when Elivated has the Deposit and these items (General Terms Sections 2.2 and 3.1). Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit the Site’s content, data collection, or tracking (General Terms Section 3.4).
WB 2.2 Design and Revisions. Unless the Order says otherwise, Elivated presents one home-page design concept, which sets the visual style for the other pages. Approving the home-page design, a Deliverable, fixes the Site’s layout and style. The design and the built Site each include the revision rounds in General Terms Section 2.2. Client sends each round’s feedback together, and feedback sent later is a new round.
WB 2.3 Content. Client provides its content in final, proofread form by the dates Elivated requests. Text and images from Client’s existing website or social media are Client Materials. Placeholder text and images, which may be AI-generated, are for layout only and are not copywriting. If Client’s content is late, Elivated may launch, or call the Site ready under General Terms Section 5.1, with placeholders Client must replace.
WB 2.4 Staging and Launch. Elivated builds the Site on a staging copy that may not stay private or unindexed, so Client will not publicize it or enter real customer data into it. Before approving launch, Client will test every page, link, and form there and complete the launch items Elivated requests, such as form destinations and domain access.
WB 2.5 Redesigns. If the Site replaces an existing website, Elivated moves content and redirects old URLs only as the Order lists, and anything left on the old website is Client’s responsibility. Client keeps its current hosting, registrar, and email running until it confirms that the Site works and everything it needs has moved.
WB 2.6 Stalled Builds. After a pause under General Terms Section 3.1, a resumed build is rescheduled as Elivated’s capacity allows, and restarting a closed build is Additional Work.
WB 3. AFTER LAUNCH
WB 3.1 Fixes. The warranty in General Terms Section 9.1 does not cover problems caused by Client Materials, changes others make, updates Elivated did not apply, Third-Party Platforms, or unsupported browsers and devices (WB 1.2). Investigating a reported problem that is not Elivated’s error is Additional Work unless the Order includes support.
WB 3.2 Edits. Edits, new pages, and other changes after launch, other than fixes under General Terms Section 9.1, are Additional Work unless the Order includes them. Any unlimited edits in an Order cover minor content changes requested within 30 days after launch. Minor content changes are small changes to existing text, images, links, or contact details, not new pages, features, design changes, or bulk changes.
WB 3.3 Handover. Elivated delivers the Site by launching it; if Elivated hosts it, the Website Hosting Terms govern its backups and removal. Figma and other design files are working files under General Terms Section 7.1, delivered only if the Order lists them, and an unfinished Site is a draft. Elivated may take the staging copy offline after launch or when a build ends, and delete it as General Terms Section 6.6 allows. If Client asks Elivated to open an account or register a domain, a Third-Party Platform’s rules may prevent transferring it to Client, and Elivated does not guarantee the transfer (General Terms Section 4.2).
WEBSITE HOSTING TERMS
Service code WH · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Website Hosting Terms apply to all website hosting Elivated provides Client, including Included Hosting.
WH 1. HOSTING
WH 1.1 Hosting. Each Client website Elivated hosts (a “Site”) runs on Elivated’s own servers and accounts. Unless the Order says otherwise, hosting includes running the Site within the limits in WH 1.2 and 1.3, an SSL certificate, automated backups, and DNS management. Unless the Order includes them, hosting excludes edits, tech support, monitoring, updating Site software, malware cleanup, email hosting, and moving a Site in or out; General Terms Section 8 sets Elivated’s security duties. Unless the Order says otherwise, edits are small changes to existing text, images, links, or contact details, not new pages, features, design changes, or bulk changes.
WH 1.2 Included Hosting. “Included Hosting” is hosting, and any edits or maintenance, included with a website build or called free or “lifetime” anywhere, including earlier terms. It allows 5 gigabytes of storage and 10,000 visitors per month, has no cash or refund value, and ends 3 years after the Site’s launch. Elivated may then, or once a Site exceeds a limit, charge its monthly hosting Fee on 30 days’ written notice, unless Client moves the Site first.
WH 1.3 Resource Limits. Paid hosting has the same limits as Included Hosting unless the Order sets others. Elivated’s hosting tools measure use.
WH 1.4 Changes and Updates. Elivated may change its providers, servers, software, and security and backup measures, and a Site’s plugins, settings, notices, and consent tools, without separate approval. While Client refuses a security setting or infrastructure standard Elivated requires, Elivated may decline to host the Site or suspend its hosting. If an update Elivated applies breaks a Site, Elivated’s only duty is to roll it back or restore a backup. Without ordered updates to WordPress, themes, and plugins, Elivated is not responsible for problems caused by outdated software, even if it sometimes applies updates.
WH 1.5 Moving a Site In. Elivated may decline to host a Site it did not build that is infected, outdated, or incompatible with its servers, or first require cleanup or updates as Additional Work. Client keeps its old hosting and email active until it confirms a moved Site works.
WH 2. DOMAINS, DNS, AND EMAIL
WH 2.1 Domains and DNS. Client registers and renews its domains; Elivated is not liable if one lapses or is locked at the registrar, unless Elivated was paid to renew it. Unless agreed otherwise in writing, hosting requires that the Site’s DNS sit in Elivated’s Cloudflare account. Client will tell Elivated of every service using the domain, including email. If Client asks Elivated to open an account or register a domain, a Third-Party Platform’s rules may prevent transferring it to Client, and Elivated does not guarantee the transfer (General Terms Section 4.2).
WH 2.2 DNS Changes and Email. DNS changes can interrupt the Site or email, so Client will confirm its email works after each one. Elivated is not liable for disruption caused by DNS propagation, Client’s registrar, or records Client did not disclose.
WH 3. SECURITY, ACCESS, AND NOTICES
WH 3.1 Security and Backups. Backups are not guaranteed to be complete, current, or restorable, and restoring one overwrites later changes and is Additional Work, unless the Order includes restores or Elivated’s error or an update it applied made the restore necessary. Elivated may limit, take offline, restore, move, or reset passwords for a Site that is infected, attacked, sending spam, or overloading a server; unless the Order includes them, cleanup, which may not fully succeed, and fixing problems Client or its other vendors cause are Additional Work.
WH 3.2 Client Changes and Other Developers. Elivated is not liable for changes made by Client or its other developers or vendors, and may refuse them server-level access, such as SSH. Plugins, themes, and code they install, including their licenses and updates, are Client’s responsibility, and Elivated may remove any it believes unsafe, even if the Site loses a feature.
WH 3.3 Abuse and Infringement Notices. Client will promptly answer any abuse report, takedown notice, or legal demand about a Site or its domain that Elivated forwards, within any deadline the notice or Elivated’s providers set. Under General Terms Section 6.5, Elivated may disable challenged content or suspend a Site, and after repeated infringement notices may suspend all of Client’s hosting, which then ends under WH 4.1. Client’s indemnity under General Terms Section 10.1 also covers claims about a Site’s domain name.
WH 4. ENDING HOSTING
WH 4.1 Removal. Hosting ends when the Order ends, when Client moves the Site or its domain stops pointing to Elivated’s servers, or 30 days after a suspension for non-payment or repeated infringement notices. 14 days after hosting ends, and after 3 attempts to notify Client by email, message, or phone, Elivated may remove the Site and delete the domain’s DNS zone, which stops every service on the domain, without liability. Elivated will provide a full backup if Client has paid in full, and the domain’s DNS records on request either way; Client must download them and move its DNS before then.
WH 4.2 Reinstatement. Elivated may decline to host a moved or removed Site again, or charge a reinstatement fee, billed as Additional Work, plus past-due amounts. A removed Site may not be restorable.
APP DEVELOPMENT TERMS
Service code AD · Version 3 (October 2026) · Part of the Elivated Services Agreement
These App Development Terms apply to app, software, and automation builds in an Order (each, an “Application”).
AD 1. SCOPE, SPECIFICATIONS, AND ACCOUNTS
AD 1.1 Scope. Unless the Order says otherwise, app development includes designing and building the screens, features, integrations, and database the Specifications describe, delivered in Releases, with the warranty in AD 2.3 and the custom code (AD 4.3). It does not include hosting, deployment to Client’s accounts, app-store submission, data migration, content creation, documentation, or ongoing support or maintenance unless the Order lists them.
AD 1.2 Specifications. The Order and any specifications, designs, or acceptance tests Client approves are the “Specifications”, and they bind both parties. Unless they list others, they cover only current versions of major browsers, iOS, and Android when the build starts. Elivated does not guarantee the Application’s scalability or performance metrics, which bind Elivated only as measurable targets in the Specifications (General Terms Section 9.2). Where they are silent, Elivated decides how to build the Application. If approved Specifications go beyond the assumptions behind the Fees or timeline, Elivated need not start the affected work until Client approves a Change Order.
AD 1.3 Accounts and Client Inputs. Client will hold each app store and other platform account the Application needs in its own name, provide the API keys, test users, and content the build needs, and obtain the access and rights each integration requires. For each app store, Client enrolls in the developer program, pays its fees, completes its verification (such as a D-U-N-S number), and gives Elivated access. Store and platform rules, reviews, listings, and privacy labels are Client’s responsibility, even if Elivated drafts them, and changes needed to pass a review are Additional Work unless they fix a Defect or the Order includes them. If Client asks Elivated to create an account or register a service, a Third-Party Platform’s rules may prevent transferring it to Client, and Elivated does not guarantee the transfer (General Terms Section 4.2).
AD 2. RELEASES, ACCEPTANCE, AND SUPPORT
AD 2.1 Designs and Releases. Designs are approved and revised under General Terms Sections 3.3 and 2.2, and approving a design fixes the Application’s layout and style. Elivated delivers the Application in versions or milestones (each, a “Release”) by sharing a link, test build, or test login.
AD 2.2 Acceptance. Unless the Order says otherwise, Client has 10 Business Days after Elivated delivers a Release to test it against the Specifications, and 5 Business Days to retest corrections. A Release is accepted when Client approves it or uses it in production, or when a testing period ends without a written rejection listing each material nonconformity with steps to reproduce it. Issues caused by Client Materials or Third-Party Platforms, and requests outside the Specifications, are not grounds for rejection.
AD 2.3 Warranty. For 30 days after a Release is accepted, Elivated will fix any reproducible failure of the code it delivered, including AI-generated code, to materially meet the Specifications (a “Defect”) that Client reports in writing. Client’s only remedy for Defects is that fix or, at Elivated’s choice, a refund of the Fees for the nonconforming part. Code not accepted when an Order ends carries no warranty.
AD 2.4 Launch Support and Later Work. Later fixes and updates are Additional Work, including changes Client asks for after launch and updates needed because operating systems, browsers, app stores, APIs, or AI models change. Support or maintenance in an Order, including launch support, means fixing Defects during its term unless the Order says more.
AD 2.5 Stalled Builds. A Release waiting only on Client’s accounts, access, content, or approvals is delivered, and ready under General Terms Section 5.1, when Elivated says so. After a pause under General Terms Section 3.1, a resumed build is rescheduled as Elivated’s capacity allows, and changes needed because Third-Party Platforms or dependencies changed meanwhile are Additional Work, besides the Reactivation Fee.
AD 3. AI, THIRD PARTIES, AND COSTS
AD 3.1 AI-Assisted Development. Elivated may use AI Tools and low-code or no-code platforms (“vibe coding”) for any part of the Services, and AI-generated code may contain errors, vulnerabilities, licensing issues, or unintended behavior. Work built inside such a platform or AI Tool is delivered only as far as that platform or tool lets Client own, export, or use it. If Client requests or approves a particular AI Tool or platform, Client accepts its inherent limitations and risks.
AD 3.2 Third-Party Services. Third-party APIs, AI models, and code libraries stay under their owners’ terms and licenses (General Terms Section 4.4). Integrations and automations can stop, fail, or duplicate records without notice, such as when a connection expires or an API changes. Unless the Order says otherwise, Client monitors them after launch and reconnects accounts when needed.
AD 3.3 Hosting and Usage Costs. Unless the Order includes them, Client pays the Application’s hosting, subscription, and other Third-Party Costs, including for parts Elivated hosts until they are removed. Client pays usage-based charges under General Terms Section 4.3 whatever their cause, including abuse, compromised credentials, or software defects. Cost estimates are not caps, and if a Defect causes excessive usage, Elivated’s only duty is to fix it. Client monitors usage and keeps its payment methods current and its account balances funded, and caps and alerts may not stop every charge.
AD 3.4 Elivated-Hosted Components. If Elivated or its Personnel host or publish any part of the Application on their accounts, Elivated may end that hosting on 30 days’ written notice, and the Website Hosting Terms on security, backups, removal, and reinstatement apply to it as if it were a Site. This includes parts that run on their API keys or subscriptions, which Client must replace with its own before the hosting ends. Backups of Elivated-hosted parts are not included unless the Order lists them, but if Client has paid in full, Elivated gives Client any backups it has before removing those parts.
AD 4. DATA, SECURITY, AND CODE
AD 4.1 Data and Test Environments. Unless the Order says otherwise, prototypes are not production-ready, and Client puts real data into a prototype or test environment at its own risk. Test environments are temporary, may be reachable by link without a login, and may be taken offline after launch or when the Order ends and deleted as General Terms Section 6.6 allows.
AD 4.2 Security and Changes by Others. Unless the Order says otherwise, security testing and code audits are not included, and Client is responsible for user access, credentials, permissions, backups, monitoring, and security settings in its accounts and the launched Application. Elivated is not responsible for code, components, or changes by Client, its other vendors, or its earlier developers, and diagnosing or fixing problems they cause is Additional Work. To protect security or stability, Elivated may disable or remove any component it believes is unsafe, outdated, unsupported, or non-compliant, even if the Application loses a feature.
AD 4.3 Source Code. Custom code written for Client is a Deliverable, not a retained source file under General Terms Section 7.1, but general-purpose components are Elivated Materials.
AD 4.4 Platform Management. Unless the Order says otherwise, Elivated may manage the infrastructure, security settings, DNS, domains, and routing of any part of the Application it deploys, hosts, or maintains, without changing Client’s responsibilities under AD 4.2. Elivated may refuse or suspend hosting or deployment while Client declines security or platform requirements Elivated considers necessary.
AD 5. HANDOVER AND ENDING
AD 5.1 Handover. At handover under General Terms Sections 5.1 and 6.6, Elivated provides the custom code, by repository transfer or copy at its choice, and the documents and design files the Order lists, but not its own accounts, API keys, or licenses.
AD 5.2 Credentials. At handover and when an Order ends, Client will change every password, key, and secret Elivated’s Personnel could access, and Elivated is not liable for access using any left unchanged.
AI INNOVATIONS TERMS
Service code AI · Version 3 (October 2026) · Part of the Elivated Services Agreement
These AI Innovations Terms apply to any AI chatbot, voice agent, assistant, agent, or AI automation Elivated builds, configures, or runs under an Order (an “AI Solution”).
AI 1. SCOPE AND HOW THE WORK RUNS
AI 1.1 App Development Terms Apply. The App Development Terms apply to every AI Solution as if it were an Application, and these AI Innovations Terms add to them. An individual inaccurate or unexpected output is not a Defect unless it causes an acceptance test in the Specifications to fail.
AI 1.2 What a Build Includes. Unless the Order says otherwise, an AI Solution build includes a knowledge base built from the documents Client provides (the “Knowledge Base”), conversation flows and guardrails, the approval step in AI 2.2, and tuning before launch. Each tuning round counts as a revision round under General Terms Section 2.2. Unless the Order lists them, it excludes model training, channels and integrations the Order does not name, and monitoring, reports, tuning, model changes, or Knowledge Base updates after launch.
AI 1.3 Onboarding and Testing. To start, Client will provide the Knowledge Base documents, the topics the AI Solution may and may not address, sample questions and expected answers, and the access the build needs. Test questions Client approves are acceptance tests in the Specifications, and approvals follow General Terms Section 3.3.
AI 2. HOW AI SOLUTIONS WORK
AI 2.1 Nature of AI. AI Solutions can give false, offensive, or inconsistent answers, misunderstand people, fail to follow instructions or resist misuse, and change behavior when AI providers change their models. Guardrails reduce these risks but cannot remove them.
AI 2.2 Human Approval. Elivated will design each AI Solution to queue for a person’s approval any action beyond replying in a conversation, such as sending messages, placing calls, booking appointments, changing records, or making payments (an “Agentic Action”), except those the Order or Client authorizes in writing. Client is responsible for authorized Agentic Actions and their results.
AI 2.3 What the AI Solution Says. Client answers for the statements, offers, prices, policies, and commitments its AI Solution makes, as if Client made them, and decides which topics it may address and which disclaimers it needs. Client’s indemnity under General Terms Section 10.1 also covers claims relating to AI Solutions, their outputs, and authorized Agentic Actions.
AI 2.4 Monitoring and Human Review. After launch, Client will monitor each AI Solution’s conversations and outputs and keep a qualified person involved in high-stakes decisions. Client also staffs the approval queue and any handoff to its people. Client is responsible for using each AI Solution ethically, including checking that outputs meet the law and Client’s own standards, addressing bias, and interpreting predictions correctly.
AI 3. ACCOUNTS, CONTENT, AND PROVIDERS
AI 3.1 Accounts and Running Costs. The AI model, API, telephony, and messaging accounts an AI Solution needs should be in Client’s name (General Terms Section 4.2). Their charges, such as for model usage, minutes, and messages, are Third-Party Costs under General Terms Section 4.3, and a running-cost estimate in an Order is not a cap or a budget under that Section. Elivated will get Client’s approval before committing Client to a license, subscription, or other expense the Order does not list; usage-based charges need no separate approval.
AI 3.2 Knowledge Base Accuracy. Client is responsible for the Knowledge Base’s accuracy (General Terms Section 3.2). Unless the Order includes updates by Elivated, Client keeps it current, including when prices, hours, services, accepted insurance, or policies change.
AI 3.3 AI Providers and Model Changes. AI providers’ terms and usage policies apply to each AI Solution, and Client will follow them. Elivated chooses the models unless the Order names one, and may substitute a comparable model for one a provider retires or changes. Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit how its data is handled or how AI models are used (General Terms Section 3.4).
AI 4. SAFETY AND DATA
AI 4.1 Health, Emergencies, and Disclosures. An AI Solution is not an emergency service. Elivated may configure it to direct people who describe an emergency to 911 and not to ask for health information or give clinical advice. Client will not use an AI Solution to collect PHI unless the BAA applies (General Terms Section 8.5), or to diagnose, treat, or give clinical advice unless the Order says so. Client is responsible for health information people volunteer to it and for any AI disclosure and call- or chat-recording consent the law requires.
AI 4.2 Conversation Data. General Terms Section 8 applies to the messages, recordings, transcripts, and other data an AI Solution handles (“Conversation Data”), and Client decides how long it is kept. AI providers may keep copies under their own terms. Client authorizes Elivated to review Conversation Data to build, tune, and support the AI Solution, and will obtain any consent that review needs.
AI 5. OWNERSHIP AND OFFBOARDING
AI 5.1 Prompts and Configurations. Prompts and configurations Elivated writes for an AI Solution, such as its conversation flows and guardrails, are Elivated Materials, even if stored in its code, unless the Order lists them as Deliverables (General Terms Section 7.1).
AI 5.2 Offboarding. An AI Solution built inside a Third-Party Platform may not be exportable, and one running on accounts Elivated or its Personnel hold may stop working when Elivated’s hosting of it ends. Elivated may delete its copies of Client’s email, calendar, and file data and of Conversation Data 30 days after the Services end, paid or not.
AD MANAGEMENT TERMS
Service code AM · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Ad Management Terms apply to paid advertising Elivated manages.
AM 1. SCOPE AND BUDGET
AM 1.1 Services. Elivated manages and reports on paid campaigns as the Order states. Unless the Order says otherwise, this includes setup or audit of Client’s ad accounts, campaign plans for Client’s approval, the new campaigns and ad creatives the Order lists, optimization within the Approved Budget, conversion-tracking setup subject to Client’s consent settings, and lead delivery to the email or system the Order names. Landing pages, video production, call tracking, and CRM setup are not included unless the Order lists them.
AM 1.2 Ad Spend and Budget. “Ad Spend” means everything ad platforms charge, including boosts, fees, taxes, and overdelivery, and Client pays it directly. The budget Client sets in the Order or by message, including a verbal budget Elivated confirms by message, is the “Approved Budget,” and only Client may raise it. Elivated’s only Ad Spend liability is under General Terms Section 4.3, measured against the Approved Budget. Budget changes and pauses take effect when implemented, usually within one Business Day.
AM 1.3 Platform Billing. Platforms bill Client’s payment method at thresholds or dates they set and may stop ads when a payment fails or a spending limit is reached (General Terms Section 4.1). Client keeps a working payment method on each account and promptly completes verification only it can do.
AM 2. RUNNING CAMPAIGNS
AM 2.1 Accounts and Access. Client gives Elivated access to its ad accounts, held in Client’s name (General Terms Section 4.2), and to its tag manager, analytics, and website, or has its web developer install Elivated’s tags. Access is through user or partner roles, not passwords, where available. Elivated is not responsible for account history or restrictions predating its management, or for changes by Client or its other vendors. If Client asks Elivated to create an ad account or other advertising asset, a Third-Party Platform’s rules may prevent transferring it to Client, and Elivated does not guarantee the transfer (General Terms Section 4.2).
AM 2.2 Approvals and Changes. New campaigns and ad messaging need approval under General Terms Section 3.3; routine optimizations within the Approved Budget do not. Ad creatives get revisions under General Terms Section 2.2. Elivated may pause or change any ad, campaign, or setting without approval if it believes it may break the law or platform rules, contain an error, or overspend the Approved Budget.
AM 2.3 Ramp-Up and Results. New and significantly changed campaigns go through a ramp-up period while the platforms learn, and early results do not predict later ones. Launch dates, ramp-up periods, and lead or cost targets are estimates, not promises (General Terms Sections 2.2 and 9.2).
AM 2.4 Platform Automation and Tracking. Platform automation and AI may create ads or target searches, audiences, and placements neither party chose; Client accepts that risk. Some of these features cannot be turned off, and Elivated cannot review every variation before it runs. Consent tools, Google Consent Mode, and platform health-data limits may reduce or estimate reported conversions.
AM 2.5 Restricted Ads and Landing Pages. Platforms restrict ads about housing, jobs, credit, and health care. Client will tell Elivated in writing, before and during the Services, if its ads involve them, and of any laws, professional rules, or other restrictions that limit its advertising (General Terms Section 3.4). Approving an ad approves its offer, claims, and landing page (General Terms Sections 3.2 and 3.3). Unless Elivated built them, Client is responsible for its landing pages, including fixing them when they cause disapprovals or lost leads.
AM 3. LEADS AND HEALTH DATA
AM 3.1 Leads. At setup, Client will confirm that test leads reach it. Client monitors lead delivery. Elivated is not liable for leads lost, delayed, or misrouted after leaving the ad platform, including in its lead-routing tools. Client follows up on and qualifies leads and tracked calls, some of which will be spam, duplicates, out of area, or unqualified.
AM 3.2 Data Sent to Platforms. Client decides what lead or outcome data goes to ad platforms, including through conversion APIs and uploads, and answers for it. Elivated may decline any upload, audience, conversion event, lead-form question, or tracking that it believes could expose health information.
AM 3.3 Health-Care Clients. If Client provides health care: (a) unless the BAA applies, Client has leads go straight to a system it holds in its own name, such as its CRM, and runs any call tracking in its own account; and (b) the Services do not include sending patient, booked-client, or other customer lists or outcomes to ad platforms, and Client answers for any it sends itself.
AM 4. ENDING THE SERVICES
AM 4.1 Campaigns Keep Running. During a suspension, and after Client stops the Services or they end, campaigns in Client’s accounts keep running at Client’s cost and risk unless Client pauses them or asks Elivated by message, 2 Business Days ahead, to pause them.
AM 4.2 Access and Tools. When the Services end, Elivated stops managing Client’s accounts, even if its access remains, and may remove its users, account links, scripts, and integrations from them (General Terms Section 6.6). Lead routing, tracking numbers, and other tools on Elivated’s own accounts may then stop, so Client must set up its own first. If Client asks within 30 days, Elivated will export the lead records those tools hold for Client.
SEO SERVICE TERMS
Service code SS · Version 3 (October 2026) · Part of the Elivated Services Agreement
These SEO Service Terms apply to search engine optimization Services in an Order, including Google Business Profile (“GBP”) work.
SS 1. SCOPE
SS 1.1 Scope. Elivated provides the SEO work the Order states. Unless the Order says otherwise, that work includes (a) an onboarding audit and keyword plan, followed by periodic technical audits; (b) the on-page changes and technical fixes Elivated prioritizes and can make with the access Client gives; (c) the blog posts, pages, and GBP posts the Order lists; and (d) the reports the Order states. Developer work, redesigns, migrations, and hosting are not SEO Services unless the Order includes them. Review responses are included only if the Order names them. Elivated will get Client’s approval before incurring expenses the Order does not list, such as paid tools or outsourced content, and Client repays approved expenses as Third-Party Costs (General Terms Section 4.3).
SS 1.2 Link Building. Link building is included only if the Order names it. Client will tell Elivated before Client or anyone it hires builds or buys links to Client’s website.
SS 2. HOW THE WORK RUNS
SS 2.1 Onboarding. Client will give Elivated access to its website and its Google Search Console, Google Analytics, and GBP accounts (General Terms Section 4.2) through user or partner roles, not passwords, where available, and complete any verification only Client can do. If Client asks Elivated to create one of these accounts, a Third-Party Platform’s rules may prevent transferring it to Client, and Elivated does not guarantee the transfer (General Terms Section 4.2).
SS 2.2 Publishing and Approvals. On-page changes and technical fixes need no approval. Unless Client asks to approve posts and pages first, Elivated may publish them, and each counts as delivered under General Terms Section 3.3 when it goes live. Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit its marketing (General Terms Section 3.4). Revisions follow General Terms Section 2.2. For SEO posts and pages, these SEO Service Terms prevail over the Copywriting Job Terms where they differ, and Elivated need not propose topics or keywords for approval.
SS 2.3 AI-Assisted Content. Unless the Order says otherwise, Elivated drafts content with AI Tools. Before approving content, Client will verify every fact, statistic, price, credential, location, service, and claim in it, whatever its source.
SS 2.4 Reports. Reports draw on Client’s Google accounts and Elivated’s SEO tools, whose data may be sampled, delayed, or estimated. Rankings vary by location and device, and consent tools and privacy settings limit what analytics can measure (General Terms Section 9.2).
SS 2.5 Timing. SEO results usually take months. Search engines decide whether and when to crawl, index, and rank each page, and their algorithm updates and AI-generated answers can cut traffic even when rankings hold (General Terms Sections 4.1 and 9.2).
SS 3. WEBSITE CHANGES AND PENALTIES
SS 3.1 Website Changes. Client will tell Elivated before Client or another developer redesigns or moves the website or changes its domain, platform, or URLs. Fixing what Client, its other vendors, or plugin, theme, or platform updates break is Additional Work.
SS 3.2 Access and Penalties. Elivated is not responsible for delays or losses caused by missing access or information; for search-engine penalties, manual actions, or listing suspensions; or for ranking losses caused by earlier SEO work, Client, its other vendors, or third parties.
SS 4. GOOGLE BUSINESS PROFILE AND LISTINGS
SS 4.1 GBP Ownership and Suspensions. Client should hold primary ownership of its GBP, with Elivated as a manager. If Google edits or suspends a listing, even after legitimate edits, appeals and reinstatement requests are Additional Work unless the Order includes them.
SS 4.2 Review Responses. If the Order includes review responses, Elivated may refer complaints, legal threats, and reviews about anyone’s health or treatment to Client instead of answering them. If Client is a HIPAA covered entity, Client handles its own review responses.
SS 4.3 Local Citations. If the Order includes local citations, Elivated lists the business details Client confirms on directories, which decide what to publish, can take weeks to update, and may revert or duplicate listings.
SS 5. ENDING THE SERVICES
SS 5.1 Offboarding. Ending the SEO Services stops publishing and reporting but does not remove paid-for content from Client’s website or GBP. Elivated may then remove its access and any SEO plugin licenses it supplied (General Terms Sections 4.4 and 6.6). Audits and keyword plans are working files under General Terms Section 7.1 unless the Order lists them as Deliverables. Unless the Order lists them as Deliverables, SEO strategies and keyword research that Elivated shares with Client are Elivated’s Confidential Information (General Terms Section 8.1). Before the Services end, Client must hold primary ownership of its GBP.
SOCIAL MANAGEMENT TERMS
Service code SM · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Social Management Terms apply to social media management Services in an Order.
SM 1. SCOPE
SM 1.1 Scope. Elivated plans, creates, and publishes organic posts, including Google Business Profile posts, on Client’s accounts on the platforms the Order lists (the “Managed Accounts”). Unless the Order says otherwise, the Services include a monthly content calendar (a “Calendar”); the number of posts the Order lists, with graphics and captions; scheduling; and replies under SM 1.2. A post published on several platforms counts as one post.
SM 1.2 Engagement. Elivated replies to comments and direct messages on the Managed Accounts during Elivated’s business hours, within any guidelines Client gives, and all engagement counts as approved. Response times are not guaranteed, and Elivated does not monitor for emergencies. Elivated may refer complaints, legal threats, safety concerns, and comments or messages about anyone’s health or treatment to Client instead of answering them. If Client is a HIPAA covered entity, Client handles its own direct messages.
SM 1.3 Not Included. Unless the Order lists them, the Services do not include reports, account setup, photo or video shoots, influencer outreach, review responses, crisis communications, or paid boosts, which the Ad Management Terms govern. Ad-hoc or rush posts beyond the number the Order lists are Additional Work unless they replace planned posts.
SM 2. HOW THE WORK RUNS
SM 2.1 Access and Materials. Client gives Elivated access to its Managed Accounts (General Terms Section 4.2) through user or partner roles, not passwords, where available, and promptly completes any verification only Client can do. If Client asks Elivated to create an account or page, a Third-Party Platform’s rules may prevent transferring it to Client, and Elivated does not guarantee the transfer (General Terms Section 4.2). Client provides the photos and business facts that posts need, including date-sensitive promotions and events, in time for the Calendar.
SM 2.2 Calendar Approval. Elivated publishes posts from Calendars approved under General Terms Section 3.3, including by Client’s silence, but need not publish one Client has not expressly approved. Approving a Calendar approves each post’s graphic or video, caption, platforms, and date, so Client first checks every fact, including phone numbers and addresses. Each Calendar is one Deliverable for revisions under General Terms Section 2.2. Client sends each round’s feedback together, and feedback sent later is a new round. Posts approved too late for their dates may be moved or skipped, and skipped posts do not roll over (General Terms Section 5.2).
SM 2.3 Platforms and Results. Third-Party Platforms, including scheduling tools, sometimes fail to publish, delay, or alter posts (General Terms Section 4.1). When Elivated learns that a post failed, its only duty is to republish it or a replacement. Elivated does not guarantee followers, reach, or engagement (General Terms Section 9.2).
SM 3. CONTENT AND CRISES
SM 3.1 Content Rights. Business accounts may generally use only business-licensed music. Client obtains the creator’s permission before Elivated reposts content others created, except through a platform’s own sharing tools. For photos and videos Client provides or Elivated takes from Client’s accounts or website, Client obtains the releases and consents General Terms Section 3.2 requires, including for patients and minors, and Elivated may require written confirmation first.
SM 3.2 Crises and Complaints. Client will promptly tell Elivated of any crisis, public complaint, or other event that could make a scheduled post inappropriate. Elivated may then pause or remove scheduled posts and is not responsible for posts published before it learns of the event.
SM 3.3 Marketing Restrictions. Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit its marketing (General Terms Section 3.4).
SM 4. ENDING THE SERVICES
SM 4.1 Ending. Publishing and replies stop when the Services end, even if Elivated’s access remains (General Terms Section 6.6), and Elivated may cancel posts scheduled for later. On request under that Section, Elivated delivers final graphics and captions of paid-for posts; Canva files are working files under General Terms Section 7.1.
EMAIL MARKETING TERMS
Service code EM · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Email Marketing Terms apply to email marketing Services in an Order.
EM 1. SERVICES AND ACCOUNTS
EM 1.1 Services. Unless the Order says otherwise, Elivated writes, designs, and sends one newsletter a month to Client’s main list, through Client’s email-platform account and from a domain Client owns. Each newsletter includes a draft with the revision rounds in General Terms Section 2.2, a proof for approval (General Terms Section 3.3), and scheduling. Automations, text messages, and list building are included only if the Order lists them. Reports, if ordered, show the email platform’s data, which Elivated does not verify.
EM 1.2 Client’s Account. Unless the Order includes it, Client pays for its email-platform account, including any upgrade its contact or sending limits require (General Terms Section 4.3). Client gives Elivated access to that account through user or partner roles, not passwords, where available. If Client sends from an account Elivated holds, Elivated may limit or pause that sending or require Client to move to its own account.
EM 1.3 Sending Domain. Client will add to its domain’s DNS, or let Elivated add, the SPF, DKIM, and DMARC records mailbox providers expect, and will tell Elivated of every other service sending email from that domain. Elivated is not responsible for problems caused by undisclosed senders or others’ DNS changes.
EM 2. LISTS AND SENDING
EM 2.1 Client’s List. The list is Client’s, and Client is the sender of every email (General Terms Section 8.4). Client warrants that every address was collected lawfully, with permission to receive its marketing email or under a customer relationship the law and the platform’s rules allow, and that none was bought, rented, scraped, or appended.
EM 2.2 Health Information. Client will not provide PHI, such as patient or treatment-inquiry lists, unless the BAA and the email platform’s business associate agreement are both in effect.
EM 2.3 Unsubscribes. The email platform processes unsubscribes made through its link. Client will check that link and its postal address in each proof and honor opt-outs it receives any other way.
EM 2.4 Approval and Sending. Approving a proof approves the whole email, including its list and send time. A sent email cannot be recalled; for an error Elivated causes, Client’s sole remedy is a free correction email.
EM 2.5 No Guaranteed Delivery. Elivated does not guarantee delivery or inbox placement, or that emails will avoid spam filters, promotions tabs, or blocklists (General Terms Section 9.2).
EM 3. ENDING THE SERVICE
EM 3.1 Ending. When the Services end, Client keeps its email-platform account and list (General Terms Section 6.6). Elivated may cancel sends scheduled after the end and turn off automations in accounts it holds. Automations in Client’s own account keep running at Client’s cost and risk unless Client pauses them or asks Elivated by message, 2 Business Days before the Services end, to pause them. If Client asks within 30 days, Elivated will export any list in an account it holds, with its unsubscribe records.
COPYWRITING JOB TERMS
Service code CJ · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Copywriting Job Terms apply to copywriting Services in an Order.
CJ 1. COPYWRITING
CJ 1.1 Scope. Elivated researches, writes, edits, and proofreads the copy the Order describes. Each separately ordered unit, such as a web page, blog post, email, or set of ad variations, is a “Piece,” delivered as an editable document unless the Order says otherwise. A Piece within 10% of its target length conforms to the Order. Publishing, design, translation, and interviews are not included unless the Order includes them.
CJ 1.2 Client Verifies Content. Before approving a Piece, Client will verify every fact, statistic, price, quotation, credential, and claim in it, whether it came from Client, Elivated’s research, or an AI Tool.
CJ 1.3 AI Detection. AI-detection tools are unreliable. Elivated does not guarantee that copy will pass them or that anyone will not treat it as AI-generated, and a detection result is not a defect. If Client wants no generative AI used, it must say so before work begins, and Elivated may adjust Fees and timelines.
CJ 1.4 Recurring Content. For Recurring Services, Elivated proposes each billing period’s topics for Client’s approval. If Client does not respond within 5 Business Days, Elivated may proceed with them.
CJ 1.5 Brief and Voice Call. Client will give its brief, examples of its voice, and instructions before work begins, including on any voice call the Order includes. Elivated may treat later instructions, such as a new topic, audience, angle, or voice, as Additional Work.
CJ 1.6 Delivery, Turnaround, and Rounds. A draft or Piece is delivered when Elivated sends or shares it. Estimated turnaround starts once Elivated has the complete brief. Client sends each round’s feedback together, and feedback sent later is a new round.
CJ 1.7 SEO Copy. In SEO copy, Elivated places the keywords Client approves where they read naturally. Elivated does not guarantee SEO-tool scores or rankings (General Terms Section 9.2).
CJ 1.8 Options and Guides. Unless the Order lists them, alternatives Client does not choose, such as extra headlines or taglines, and any voice or messaging guide Elivated prepares are not Deliverables (General Terms Section 7.1).
CJ 2. FEES
CJ 2.1 Rush Fees. If Elivated agrees to deliver faster than its estimated turnaround, a rush fee applies: the amount in the Order or Elivated’s quote or, if none, 50% of the Fees for the affected Pieces.
CJ 2.2 Kill Fee. Unless the Order says otherwise, if Client cancels a Piece, its full fee is due once Elivated has delivered the first draft, and 50% of it is due if work has begun but no draft has been delivered. For Recurring Services, a Piece cancelled after work begins counts toward that billing period’s allotment.
CJ 2.3 Expenses. Elivated will get Client’s approval before incurring expenses the Order does not list, and Client repays approved expenses as Third-Party Costs (General Terms Section 4.3).
CJ 3. CLAIMS AND SOURCES
CJ 3.1 Regulated Claims. Client will have a qualified professional review copy on health, financial, legal, or other regulated topics before approving it, and is responsible for the disclaimers and disclosures that copy requires (General Terms Sections 3.2 and 3.4).
CJ 3.2 Testimonials and Reviews. Testimonials and reviews in copy must be genuine ones that Client supplies. Writing them for others to give, or changing their meaning, is not part of the Services.
CJ 3.3 Originality and Sources. Plagiarism-detection tools are imperfect, and common phrases, industry terms, and facts are not copying. Elivated may decline to copy, closely paraphrase, or “spin” third-party text, including sources Client supplies.
CJ 3.4 Marketing Restrictions. Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit its marketing (General Terms Section 3.4).
CJ 3.5 Third-Party Decisions. Third-Party Platforms, editors, and agencies decide whether to accept, flag, or remove copy, and Elivated is not responsible for those decisions (General Terms Section 4.1).
CJ 4. ENDING THE SERVICE
CJ 4.1 Offboarding. After an Order ends, Elivated may stop sharing its working documents, and Client is responsible for keeping copies of approved Pieces (General Terms Section 6.6).
CJ 4.2 Completed Drafts. If Client cancels a Piece, or an Order ends before a Piece is approved, the latest draft Elivated has delivered for that Piece is an as-is Deliverable once Client has paid for the Piece in full.
GRAPHIC DESIGN TERMS
Service code GD · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Graphic Design Terms apply to design Services in an Order.
GD 1. SCOPE
GD 1.1 Items, Concepts, and Rounds. Each ordered unit of design, such as a logo, a brochure, or a set of ad sizes, is an “Item.” Unless the Order says otherwise, a logo gets 2 design directions (“Concepts”) and any other Item gets 1. Revisions (General Terms Section 2.2) refine the chosen Concept, and a substantial redesign is a new Concept. Client sends each round’s feedback together, and feedback sent later is a new round. Any unlimited revisions in an Order end when Client approves the Item or 30 days after its first delivery, whichever comes first.
GD 1.2 Final Files. Final files are high-resolution PNG, JPG, or print-ready PDF files in the Order’s sizes, plus vector files (such as SVG, EPS, or PDF) for a logo. After delivery, Elivated is not responsible for quality issues outside its control, such as how social media, ad, or other Third-Party Platforms display, crop, or compress the files (General Terms Section 4.1).
GD 1.3 Not Included. Unless the Order lists them, Items exclude editable source files, such as Figma, Canva, or Illustrator files (General Terms Section 7.1); brand guidelines, logo usage guides, or extra logo versions; applying a logo to other items; photography or custom illustration; purchased stock images or fonts; printing; and uploading designs to websites or platforms.
GD 2. HOW THE WORK RUNS
GD 2.1 Brief and Inputs. Before work starts, Client provides its brief, brand assets, text, images, and sizes (General Terms Sections 3.1 and 3.2). Approvals from Client’s signer, primary contact, or anyone Client names bind Client. Timelines start once Elivated has these inputs.
GD 2.2 Proofs and Approval. Before approving a proof, Client will check all text, names, contact details, prices, dates, and sizes against its own records and test every link and QR code. Approving a proof as final approves the Item as shown (General Terms Section 3.3).
GD 2.3 Printing. Elivated is not the printer and is not responsible for a printer’s work, materials, delays, or shipping. Client gives Elivated its printer’s specifications, such as size, bleed, and color mode, before approving an Item for print. Colors vary between screens, paper, and printers, so Elivated does not guarantee that printed colors will match a screen, proof, or earlier run. Unless the Order includes printing, Client pays for it. Client also pays for any reprint after approval.
GD 3. LICENSES AND TRADEMARKS
GD 3.1 Fonts, Stock, and Templates. Fonts, stock images, and template elements in an Item stay under their providers’ licenses (General Terms Section 4.4), which may limit their use to that Item. Font files are not Deliverables, and Client must get its own licenses and accounts before reusing an element, installing a font, or editing listed source files.
GD 3.2 Trademarks and Stock Elements. Elivated does not search, clear, or register trademarks or warrant that any brand element is available for use or registrable. Stock, template, and AI-generated elements, such as Canva assets, may not be exclusive or registrable. Client is responsible for having its attorney clear brand elements before adopting them.
GD 4. ENDING
GD 4.1 Files and Access. When an Order ends, Client gets the final files for each approved, paid-for Item as General Terms Section 6.6 provides, but not drafts, unused Concepts, or unlisted source files. Elivated may then remove Client’s access to its design-tool accounts and shared links. Client is responsible for keeping its own copies of final files.
LINKEDIN MANAGEMENT TERMS
Service code LM · Version 3 (October 2026) · Part of the Elivated Services Agreement
These LinkedIn Management Terms apply to LinkedIn management Services in an Order.
LM 1. SCOPE AND PROFILE OWNERS
LM 1.1 Profile Owners. For each personal LinkedIn profile the Order lists or Client identifies, Client warrants that its owner (the “Profile Owner”) authorized the Services, including posts under their name. The Profile Owner controls the account, their approvals count as Client’s, and approved posts are their own statements. Client’s indemnity under General Terms Section 10.1 also covers claims by a Profile Owner other than Client relating to the Services.
LM 1.2 Scope. Unless the Order says otherwise, LinkedIn management includes ghostwritten posts for each Profile Owner, in the number the Order lists, drafted for approval, then scheduled or posted with access the Profile Owner authorizes. Without that access, Elivated sends approved posts to the Profile Owner to post. Unless the Order includes them, it excludes reports, replies to comments or messages, commenting on or engaging with others’ posts, connection outreach, ads, profile rewrites, and company pages. Elivated will get Client’s approval before incurring expenses the Order does not list, and Client repays approved expenses as Third-Party Costs (General Terms Section 4.3).
LM 1.3 Changes in Profile Owners. Client will tell Elivated promptly if a Profile Owner leaves Client, withdraws consent, or objects to Client’s instructions. In any of those cases, Elivated may stop work on that profile without reducing Fees. Elivated is not responsible for disputes between Client and the Profile Owner.
LM 2. HOW THE WORK RUNS
LM 2.1 Voice and Approval. Client will have each Profile Owner join an onboarding call about their voice and supply the stories, facts, and photos posts need. Approvals follow General Terms Section 3.3, and revisions, including for voice, follow General Terms Section 2.2. Elivated may hold posts until expressly approved, and posts held for approval or input do not roll over (General Terms Section 5.2).
LM 2.2 Employer Policies and Confidentiality. Before approving a post, the Profile Owner, not Elivated, checks that it breaches no employer’s social media or confidentiality policy or professional rule and reveals nothing they may not share, such as trade secrets or customer or patient details. Client is responsible for that check. Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit a Profile Owner’s posts (General Terms Section 3.4).
LM 2.3 Personal Logins at Client’s Risk. If Client or a Profile Owner gives Elivated sign-in details for a personal LinkedIn account, Client confirms that the account holder authorized Elivated’s Personnel, wherever located, to act in the account, and will have the password changed afterward. LinkedIn restricts shared access and may restrict or close the account. Client assumes all risk of any restriction, suspension, or loss resulting from that access, and Elivated may decline or end it at any time.
LM 2.4 LinkedIn Rules and Results. LinkedIn’s rules bar bots, other unauthorized automation, and inauthentic engagement. Client is responsible for tools and practices anyone other than Elivated uses on a profile, such as automation software or engagement pods. LinkedIn decides who sees each post, and Elivated does not guarantee impressions, followers, connections, engagement, referrals, or hires (General Terms Section 9.2).
LM 3. ENDING THE SERVICE
LM 3.1 Offboarding. When LinkedIn management ends, Elivated may cancel scheduled posts. Published posts stay on the Profile Owner’s profile, and Elivated’s rights in paid-for posts, including their drafts, pass to Client under General Terms Section 7.1. Client will have each Profile Owner remove any remaining Elivated access and change any password Elivated used (General Terms Section 6.6).
LINKEDIN REWRITE TERMS
Service code LR · Version 3 (October 2026) · Part of the Elivated Services Agreement
These LinkedIn Rewrite Terms apply to LinkedIn profile rewrite Services in an Order.
LR 1. LINKEDIN REWRITE
LR 1.1 Scope. For each individual whose personal LinkedIn profile the Order identifies (a “Profile Owner”), Elivated will rewrite 1 profile in 1 language after a questionnaire and 1 interview of up to 60 minutes. The rewrite is a new headline, About section, and experience entries, with recommended skills and guidance on other profile sections. Resumes, other platforms, ongoing content, and later updates are not included unless the Order includes them. Client enters the approved content on LinkedIn unless the Order includes implementation. If the Profile Owner is not Client, Client obtains their consent, and their approvals count as Client’s.
LR 1.2 Accuracy and Credentials. Elivated will not invent or inflate employers, titles, dates, degrees, licenses, or metrics. Client ensures that the Profile Owner holds every credential the profile claims and that the profile breaches no employer’s confidentiality, non-solicitation, or social media policy.
LR 1.3 Visibility and Role. Profile changes may be visible to the Profile Owner’s network and current employer. Client chooses the visibility and notification settings, and Elivated is not responsible if anyone learns of a job search. Elivated is not an employment agency and does not procure employment.
LR 1.4 Personal Logins at Client’s Risk.
LR 1.5 Career Information. A Profile Owner’s resume, career history, contact details, and other sensitive professional information are Client’s Confidential Information under General Terms Section 8.1, whether or not marked, for as long as Elivated holds them.
LR 2. PROCESS AND DELIVERY
LR 2.1 Process. After the questionnaire and interview, Elivated delivers a draft of the complete rewrite in an editable document. The revision rounds apply to that draft as a whole (General Terms Section 2.2), and approval follows General Terms Section 3.3.
LR 2.2 Missed Interview. If the Profile Owner misses the interview, or Client or the Profile Owner cancels it with less than 24 hours’ notice, it counts as held, and Elivated may draft from the questionnaire.
LR 2.3 Implementation and Images. If the Order includes implementation, Elivated enters only the approved content, preferably by screen-share with the account holder signed in on their own device. A headshot or banner image is included only if the Order lists it, and the Graphic Design Terms then apply.
LR 3. PORTFOLIO AND ENDING
LR 3.1 Portfolio Use. General Terms Section 7.3 does not cover a profile identifying a Profile Owner other than Client; Elivated shows one only with that person’s consent, which a message can give.
LR 3.2 Ending. These Services end, and General Terms Section 6.6 applies, when the final content is approved or, if ordered, implemented. If the Profile Owner is not Client, Client gives them the rights to use that content, which becomes Client’s on full payment (General Terms Section 7.1). If Client cancels before then, Elivated delivers any completed draft as an as-is Deliverable once Client pays what General Terms Section 6.2 requires.
LR 3.3 Drafts. The drafts and unused wording Elivated wrote for each profile also become Client’s on full payment, despite General Terms Section 7.1. If these Services end in any other way before the final content is approved, Elivated delivers any completed draft as an as-is Deliverable once Client has paid for the work done.
LINKEDIN TRAINING TERMS
Service code LT · Version 3 (October 2026) · Part of the Elivated Services Agreement
These LinkedIn Training Terms apply to LinkedIn training Services in an Order.
LT 1. LINKEDIN TRAINING
LT 1.1 Scope. Elivated delivers the live LinkedIn training sessions the Order states, by video or in person, with slides, guides, and other materials (“Training Materials”). Unless the Order says otherwise, each session lasts up to 60 minutes, a group session may include up to 10 attendees, and recordings are not included.
LT 1.2 Rescheduling and Expiration. Client may reschedule a session without charge on at least 24 hours’ notice. A session cancelled or moved on shorter notice, or that no attendee joins within 15 minutes after its start, counts as delivered. Unless the Order says otherwise, all sessions must be completed within 90 days after Client accepts the Order, extended by any delay Elivated causes. Sessions not completed by then expire without refund or credit.
LT 1.3 Training Materials. Training Materials are Elivated Materials, licensed to Client for its attendees’ internal use, not assigned. Client and its attendees will not sell or publicly share them, use them to train others, or upload them to an AI Tool that may use them for training. No one may record or capture a session without Elivated’s written consent.
LT 1.4 Personal Logins at Client’s Risk. If Client or an attendee gives Elivated sign-in details for a personal LinkedIn account, Client confirms that the account holder authorized Elivated’s Personnel, wherever located, to act in the account, and will have the password changed afterward. LinkedIn restricts shared access and may restrict or close the account. Client assumes all risk of any restriction, suspension, or loss resulting from that access, and Elivated may decline or end it at any time.
LT 1.5 Topics. Unless the Order says otherwise, sessions give personalized instruction on using LinkedIn for networking, business development, and personal branding. Topics may include profile optimization, content strategy, and LinkedIn features for lead generation and career growth.
LT 2. HOW SESSIONS RUN
LT 2.1 Agenda and Exclusions. Elivated sets each session’s agenda, using any pre-work Client completes. Unless the Order includes them, the Services exclude work in anyone’s LinkedIn account, content writing, and follow-up support.
LT 2.2 Attendees. Client is responsible for its attendees’ devices, internet access, conduct, and compliance with these LinkedIn Training Terms. Elivated may remove a disruptive attendee or unauthorized recording tool without reducing Fees.
LT 2.3 In-Person Sessions. Client provides a suitable room, screen, and internet connection. Unless the Order’s price includes travel, Client repays travel costs the Order lists or Client approves, as Third-Party Costs.
LT 2.4 Recordings. Recordings and transcripts Elivated provides are Training Materials under LT 1.3. An attendee’s objection to recording under General Terms Section 2.7 does not reduce Fees.
LT 2.5 Hands-On Work. Attendees make any changes to their own LinkedIn accounts at their own and Client’s risk, and LT 1.4 applies to any access they give Elivated.
LT 2.6 Applying the Training. Once Client approves or uses Training Materials or strategies Elivated recommends, Elivated is not liable for the outcomes of implementing them. Client ensures that its own and its attendees’ actions on LinkedIn comply with LinkedIn’s policies and the law. Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit attendees’ use of LinkedIn (General Terms Section 3.4).
LT 3. ENDING THE SERVICE
LT 3.1 License and Links. Client keeps the license in LT 1.3 unless any amount owed remains unpaid 10 days after notice. After the Order ends, Elivated may remove links to Training Materials, and Client is responsible for keeping its own copies.
CONSULTING TERMS
Service code CW · Version 3 (October 2026) · Part of the Elivated Services Agreement
These Consulting Terms apply to consulting, advisory, strategy, and fractional-executive Services in an Order.
CW 1. SCOPE AND BILLING
CW 1.1 Scope. Consulting covers the advice, strategy, audits, and oversight the Order describes (“Advice”). Unless the Order says otherwise, it includes the calls and Deliverables the Order lists, such as a written audit or plan, but not written notes or call summaries. Client gives Elivated all access, information, and tools needed for the Advice. Client implements Advice unless the Order says Elivated will.
CW 1.2 Other Work. Unless the Order includes them, consulting excludes design, website edits, technical support, newsletters, and other implementation. When Elivated does that work, the Service-Specific Terms for it apply (General Terms Section 1.1).
CW 1.3 Billing. The Order sets the billing model: fixed Fee, monthly retainer, or hourly. A fixed Fee or retainer covers the Order’s calls and Deliverables plus reasonable messages; more is Additional Work. Hourly work is recorded in 15-minute increments and billed monthly in arrears. Hourly time includes preparation and substantive messages, and each call or task is rounded up to the next increment.
CW 1.4 Expenses. Elivated will get Client’s approval before incurring travel or other expenses the Order does not list, and Client repays approved expenses as Third-Party Costs (General Terms Section 4.3).
CW 2. CALLS AND AVAILABILITY
CW 2.1 Availability. No response time is guaranteed unless the Order states one (General Terms Section 2.5). Calls are held by video unless the parties agree otherwise.
CW 2.2 Rescheduling. Client may reschedule a call without charge on at least 24 hours’ notice. A call Client cancels or moves on shorter notice, or that no Client attendee joins within 15 minutes after its start, counts as delivered and, for hourly work, is billed at its scheduled length.
CW 3. ADVICE AND CLIENT DECISIONS
CW 3.1 Client Decides. Advice is recommendations based on information Elivated does not verify. Client decides whether and how to implement it and answers for those decisions and their results. Client’s indemnity under General Terms Section 10.1 also covers claims arising from the use or implementation of Advice. Advice given orally or by message, and AI call summaries, are preliminary; Client should get written confirmation before relying on Advice for a significant decision.
CW 3.2 Recommendations. Recommending a vendor, tool, or Third-Party Platform is not an endorsement, guarantee, or background check, and calling one “HIPAA compliant,” “secure,” or similar is not a warranty. Client vets providers, including whether one will sign a business associate agreement Client needs, and Elivated is not responsible for those Client chooses (General Terms Section 4.1).
CW 3.3 Confidential Plans. Client’s non-public plans, financials, and performance data are its Confidential Information (General Terms Section 8.1). Elivated may give similar general Advice to others, including Client’s competitors (General Terms Section 2.4), without using or disclosing that information.
CW 3.4 No Third-Party Reliance. Advice and Deliverables are for Client alone; no third party may rely on them.
CW 3.5 Restrictions. Client will tell Elivated in writing, before and during the Services, of any laws, professional rules, or other restrictions that limit its marketing or the other matters the Advice covers (General Terms Section 3.4).
CW 4. FRACTIONAL ROLES
CW 4.1 Fractional Titles. A title Client uses for Elivated’s Personnel, such as fractional chief marketing officer, is for convenience only. It creates no officer, employee, or fiduciary duties and no authority to sign, spend, or hire for Client or otherwise bind it. Client will not present Elivated’s Personnel as its officers or employees without Elivated’s consent, and will stop when the Order ends.
CW 4.2 Client’s Team. Oversight means reviewing work and advising on it. Unless the Order says otherwise, Elivated does not supervise or direct Client’s employees, contractors, or vendors. Client remains their employer or contracting party and answers for their work and for all hiring, firing, pay, and vendor decisions.
CW 5. ENDING CONSULTING
CW 5.1 Unused Time and Transition. Unused calls, hours, and retainer time do not roll over (General Terms Section 5.2) and expire without refund or credit when the Order ends, except as General Terms Section 6.4 provides. Elivated’s oversight stops when the Order ends, and transition help is Additional Work (General Terms Sections 2.1 and 6.6).
VA MANAGEMENT TERMS
Service code VA · Version 3 (October 2026) · Part of the Elivated Services Agreement
These VA Management Terms apply when Elivated provides or supervises a human assistant who works for Client (the “Assistant”).
VA 1. VA MANAGEMENT
VA 1.1 Scope. Unless the Order says otherwise, VA Management includes an Assistant who works the hours and does the duties the Order lists, Elivated’s supervision of them, and check-ins as often as the Order states. Elivated supervises only during its business hours, runs no background checks unless the Order says so, and does not guarantee to detect any error or misconduct. Unless the Order lists them, VA Management excludes recruiting or filling in for a Client Assistant, writing scripts, generating leads, setting up Client’s systems, and written reports.
VA 1.2 Hours, Time Zones, and Holidays. Unless the Order says otherwise, the hours it lists are Eastern Time, and an Assistant Elivated provides works only on Business Days and does extra hours or duties only as Additional Work. Client makes sure calls and texts go out only at hours lawful in each recipient’s time zone.
VA 1.3 Fees and Late Payment. Fees are per Assistant and exclude a Client Assistant’s pay. They continue during absences and any vacancy, whatever the Assistant’s performance or results, except while Elivated is replacing an Assistant it provides. Despite General Terms Section 5.4, Elivated may suspend these Services on notice, including by message, as soon as any amount is past due.
VA 2. EMPLOYMENT AND OUTREACH
VA 2.1 Who Engages the Assistant. An Assistant Elivated provides is its Personnel; any other is a “Client Assistant.” Client is a Client Assistant’s sole employer or principal and alone hires, pays, disciplines, and terminates them, handles their taxes and benefits, and complies with employment laws wherever they are located. Elivated is only a Client Assistant’s supervisor, not their employer, joint employer, employer of record, staffing agency, or agent, and is not responsible for their acts or promises.
VA 2.2 Outreach and Consent. Client is the caller and sender of every call and message the Assistant makes and alone answers for its legality, including under the TCPA, the Telemarketing Sales Rule, and state laws. Client warrants that every person the Assistant contacts has given the consents the law requires, including prior express written consent for telemarketing where required. Client handles do-not-call lists and opt-outs and gives Elivated proof of consent on request.
VA 2.3 Indemnity. Client’s indemnity under General Terms Section 10.1 also covers claims relating to a Client Assistant, including: (a) their acts, omissions, and misconduct, even if intentional, including theft or misuse of data or funds; (b) their recruitment, engagement, pay, classification, or termination, including claims that an Elivated Party is their employer or joint employer; and (c) claims that an Elivated Party negligently recruited, trained, supervised, or retained them. It also covers an Elivated Party’s own losses from a Client Assistant’s acts or omissions, even without a third-party claim. It excludes claims to the extent caused by Elivated’s material, unauthorized departure from Client’s instructions.
VA 2.4 Replacing or Hiring an Assistant. If an Assistant Elivated provides stops working for Client, or Client reasonably asks for a different one, Elivated tells Client and provides a replacement as soon as it reasonably can. Fees for that Assistant pause from the day they stop working for Client until the replacement starts. General Terms Section 11.1 and its placement fee apply if Client hires or engages an Assistant Elivated provides without Elivated’s written consent.
VA 2.5 Reputational Harm. In addition to General Terms Section 10.2, Elivated is not liable for reputational harm.
VA 3. HOW THE ASSISTANT WORKS
VA 3.1 Onboarding and Logins. The Assistant works in Client’s name, using Client’s scripts and the phone numbers, accounts, and systems Client provides and registers in its own name. Before an Assistant starts, Client trains them on its products, scripts, and systems and names a contact for questions the scripts don’t cover. Unless the Order says otherwise, Client provides the approved sales scripts, rebuttals, email templates, and pricing guidelines the Assistant uses. Client gives each Assistant their own logins and revokes them when that Assistant stops working for Client or the Services end. Client has each Client Assistant sign Client’s confidentiality and data-protection agreements before getting any Client login.
VA 3.2 Data and Recordings. Client provides and secures the systems where the Assistant keeps records and call recordings. Client’s notices and consents under General Terms Section 8.2 must cover recording the Assistant’s calls, with every party’s consent where the law requires it, and Elivated’s review of them, including with AI Tools.
VA 3.3 Payments and Prohibited Tasks. Payments the Assistant takes go only to Client’s own accounts, never through Elivated. Client will not ask any Assistant to: (a) collect card or bank account details other than by sending a payment link from Client’s PCI-compliant processor; (b) do health intake or other work involving PHI unless the BAA applies to that work (General Terms Section 8.5), or give clinical advice; or (c) do anything unlawful.
VA 4. ENDING
VA 4.1 Logins. When an Assistant stops working for Client or the Services end, Client revokes that Assistant’s logins and changes any passwords they used.
